Terms of Service

These Terms of Service (the “Terms”) form a legally binding agreement between you and Shelfly, Inc. ("Shelfly", "we", "our", or "us") that governs your access to and use of the Shelfly web and mobile applications, APIs, and related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms.
1. Eligibility
You may use the Service only if you are at least 13 years old (or older if required by law in your jurisdiction) and capable of forming a binding contract with Shelfly. If you access the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Accounts and Security
- Keep your login credentials confidential and secure.
- You are responsible for all activities under your account.
- Notify us immediately of any unauthorized use or security incident.
3. Subscriptions and Billing
Paid plans are billed by our payment partner Stripe. By subscribing, you authorize Shelfly and Stripe to charge your payment method according to the plan’s pricing and billing interval. Subscriptions renew automatically until cancelled. Taxes may apply.
You may cancel at any time in your billing portal; cancellations take effect at the end of the current billing period. Except where required by law, fees are non‑refundable.
4. Acceptable Use
- Do not violate laws or third‑party rights.
- Do not attempt to access data you are not authorized to access.
- Do not reverse engineer, interfere with, or overload the Service.
- Do not upload malicious code, or content that is illegal or infringes IP.
5. Your Content
You retain ownership of the inventory data, images, and other content you upload (“Your Content”). You grant Shelfly a worldwide, non‑exclusive, royalty‑free license to host, process, display, and create derivative works of Your Content solely to operate and improve the Service. You are responsible for ensuring that Your Content complies with these Terms.
6. Third‑Party Services
Shelfly integrates with third parties including Supabase (authentication, database, and storage), Stripe (payments), Google (OAuth and identity services), and external product databases such as Open Food Facts. Your use of these features may be subject to the third parties’ terms and privacy policies.
7. AI and Scanning Features
AI‑powered parsing and barcode scanning may occasionally produce incorrect or incomplete results. You are responsible for reviewing and confirming entries before taking action. Shelfly provides these features “as‑is” without warranties of accuracy.
8. Intellectual Property
Shelfly and its licensors own all rights, title, and interest in the Service and related intellectual property. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.
9. Term; Suspension; Termination
We may suspend or terminate your access if you breach these Terms, pose a security risk, or if required by law. Upon termination, your right to use the Service ends, but sections that by their nature should survive will survive (including IP, disclaimers, and limitations).
10. Disclaimers
THE SERVICE IS PROVIDED “AS‑IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHELFLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHELFLY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE AMOUNT PAID BY YOU TO SHELFLY FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You will indemnify and hold Shelfly harmless from any claims, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, Your Content, or your breach of these Terms.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws rules. The exclusive venue for disputes is state or federal courts located in Delaware, USA.
14. Changes to Terms
We may update these Terms from time to time. We will post the updated Terms and update the “Last updated” date. Your continued use of the Service constitutes acceptance of the changes.
